   주요 글로벌 투자국인 중국의 대EU 투자는 유럽 재정위기 기간 중 급증하여 EU의 핵심 투자국으로 부상하였으나, 최근 들어 감소 추세를 보이고 있다. 한편 중국의 대EU 투자가 증가하면서 EU 내에서는 우려를 나타냄과 동시에 개별 기업 및 EU 산업에 대한 부정적 효과를 분석해야 할 필요성이 제기되었다. 세계 최대 경제권인 EU는 세계 최고 수준의 자본 및 기술을 보유하고 있으며, 중국의 고성장 과정에서 가장 중요한 경제협력 파트너였다. 이에 본 연구는 중국의 대유럽 투자 현황과 함께 대유럽 투자 및 M&A의 특징, 양측간 주요 정책현안 및 EU의 정책 대응을 살펴보고, 향후 EU의 대중국 투자정책 방향과 중국의 대유럽 투자전략을 전망함은 물론 한국에 대한 시사점을 도출하는 데 그 목적이 있다.
   본 연구는 EU 역내 M&A 시장과 중국의 M&A 투자 확대의 특징을 분석함으로써 한국에 대한 시사점을 도출한다는 측면에서 선행연구와의 차별성을 기하고 있다. 특히 본 연구는 홍콩 등을 경유하거나 이미 유럽 현지에 진출해 있는 중국기업의 자회사 등을 경유하는 M&A 통계를 측정하여 기존 분석과 더욱 차별화하였다. 지금까지 대표적인 국제투자 컨설팅사에서 수행한 중국의 해외 M&A 관련 분석은 데이터의 한계로 중국기업의 직접적인 M&A 현황에 국한되었다. 이에 본 연구에서는 직접적인 M&A와 경유 M&A의 특징을 구분하여 분석하였는데, 그동안 추측에만 그쳤던 제3국 경유 M&A를 포함함으로써 중국의 대유럽 M&A를 보다 실체에 가깝게 조명하여 선행연구와의 차별성을 더욱 분명히 하였다. 
   본 연구는 다음과 같이 크게 3가지의 핵심 이슈와 쟁점에 초점을 맞추었다. 첫째, 중국의 대유럽 투자 현황 전반과 대유럽 M&A 특징, 둘째 중국과 EU의 주요 투자 현안 및 정책 대응, 셋째 중국의 대유럽 투자결정요인 분석과 우리와의 비교 및 기진출 우리 기업에 대한 영향 등이다. 
   상기한 두 번째 이슈와 관련하여 본 연구에서는 EU와 미국의 대중국 투자에 대한 정책적 대응의 특징을 비교하고, 중국의 대유럽 투자전략도 심도 있게 분석하였다. 중국의 미국 및 EU에 대한 M&A 투자 급증에 따라 양국이 어떻게 대응하고 있는지, 그리고 정책적으로 어떠한 차이가 있는지를 분석하였다. 또한 중국의 대미, 대EU 투자전략의 특징을 분석하고, 특히 최근 중국의 대중동부 유럽 투자 움직임을 주시하여, 향후 전략 변화 가능성을 전망하였다. 이러한 분석 결과를 한국 정부 및 기업에 대한 시사점으로 연결하기 위해 투자결정요인 분석 등 정량적 분석기법을 활용하여 중국의 대유럽 투자요인을 분석하고, 우리의 투자요인과 그 특징을 비교하였다. 
   중국의 대유럽 투자의 특징을 요약하면 첫째, 중국의 해외직접투자 대상국으로서 EU가 차지하는 비중이 최근까지도 지속적으로 높아지고 있다. 둘째, 중국의 대EU 투자 상위국인 네덜란드, 스웨덴, 독일, 룩셈부르크, 프랑스 등 5개국에 비하면 아직 미미한 수준이지만, 중동부 유럽으로의 투자 규모가 점차 증가하고 있다. 셋째, 중국의 대EU 투자는 제조업 혁신 추구와 첨단기술 경쟁력 확보 차원에서 추진되고 있다.
   Thomson Reuters 정보시스템을 활용하여 2000~19년 사이 EU에서 실시된 중국의 M&A 1,172건을 수집·분석하여 살펴본 중국의 대EU M&A 특징은 다음과 같다. 첫째, 중국의 대EU M&A는 2016년 206건으로 최대를 기록한 후 2019년 113건으로 감소하는 모습을 보여 주고 있으며, 이는 중국의 전반적인 해외투자 증감과 대체로 일치한다. 둘째, 중국의 M&A는 EU 전체 M&A 사례와 비교하여 중국으로부터 직접 투자되는 비중보다 해외를 경유하여 투자되는 비중이 상대적으로 높은 것으로 나타났다. 셋째, 중국의 투자가 서유럽 기업에 집중되고 있는 것이 확인되었다. 독일, 프랑스, 영국 3개국에 대한 투자는 건수 기준 49.5%, 금액 기준으로는 74.3%로 나타났다. 넷째, 중동부 유럽 국가의 경우 2010년 이후 투자가 본격화된 후 항만, 공항 등 교통인프라와 건설자재업에 집중되어 있어, 중국의 일대일로(BRI) 진출과 무관하지 않은 것으로 보인다.
   중동부 유럽에는 첨단 부문이나 전략기술 부문에서 경쟁력을 확보하고 있는 기업이 다수 존재하는바, 향후 중국기업이 서유럽 주요국의 투자규제를 우회하여 중동부 유럽에 대한 M&A 투자를 본격화할 가능성도 충분하다. 서유럽 주요국의 규제 강화로 이를 우회하기 위해 중국이 대중동부 유럽 투자를 본격화하였다고 진단하기는 아직 이르지만, 중국 M&A의 대중동부 유럽 우회 가능성에 대한 근거가 있다. 첫째, 중동부 유럽 국가 중 가장 선진화되어 있고 핵심 기술을 가장 많이 보유한 체코에 대한 중국의 M&A 투자가 최근 가장 많다는 사실을 들 수 있다. 둘째, 중동부 유럽 국가는 서유럽 주요국에 비해 중국의 M&A 투자에 대한 경계심이 덜하며, 전반적으로 중국의 투자를 적극 환영하고 있는 것이다.
   중국의 대EU 투자에 대한 실증분석을 통해 중국의 투자는 전략적 자산추구의 성격이 강하며, 제도적 수준 및 규제 관련 변수는 유의미한 영향을 미치지 못하거나, 예상과는 반대의 영향으로 작용하였다. 이는 중국의 대EU 투자가 중국정부의 성장전략에 따른 것이며, 국가자본주의의 속성을 내포하고 있음을 의미한다. 투자에 있어 세제 및 개방의 정도에 대해서는 민감하게 반응하는 것으로 나타났는데, 이는 국영기업이 투자를 주도했기 때문인 것으로 분석된다. 
   중국의 대EU 투자를 한국의 대EU 투자와 비교해 보면 그 특징이 보다 명확해진다. 중국의 대EU 투자가 서유럽의 선진국 중심이며, M&A 비중이 압도적인 데 비해 한국의 대EU 투자는 중동부 유럽 중심이며, 제조업에 대한 그린필드 투자 비중이 압도적이다. 투자결정요인에 대한 실증분석 결과에서도 한국의 대EU 투자는 중국의 투자결정요인과는 반대되는 방향으로 나타나 핵심 기술 취득을 위한 것이라기보다는 유럽 GVC 일부에 편입되기 위한 전략이었던 것으로 분석된다.
   코로나19를 전후로 최근 GVC 재편에 대한 전망이 크게 부각되고 있는데, GVC 재편의 방향은 유럽을 비롯한 주요국에서 외국인투자 자본에 대한 심사가 강화됨에 따라 그 변화의 폭이 더욱 클 것이다. 첫째, 코로나19 이후 유럽은 GVC에서 RVC 참여 비중을 점차 늘릴 것으로 예상되는데, 공급망의 다양화가 두드러질 것으로 전망된다. 둘째, 코로나19 이후 4차 산업혁명 시대의 스마트팩토리(smart factory) 또는 공장자동화(automation)와 같은 스마트제조를 중심으로 한 변화가 더욱 가속화될 것으로 예상된다. 셋째, 기존의 단일 공급망이 아닌 공급망이 다변화됨으로써 나타날 수 있는 여러 리스크에 대한 대비가 이루어질 것으로 보인다.
   첨단기술 분야에서 국가안보를 명분으로 한 외국인투자 규제가 미국·EU의 강화 조치로 국제적인 이슈로 대두되는 가운데, 한국기업도 투자 규제 가능성을 완전히 배제할 수는 없으므로 철저하고 신중한 대응이 필요하다. 현재 이와 같은 규제가 중국에 집중되어 있고, 한국이 미국, EU와 외교 안보 및 경제적으로 전통적 우방관계에 있다는 점을 미루어볼 때, 이들의 중점 규제 대상에 오를 우려는 높지 않을 것으로 보인다. 그러나 주요 국가들이 첨단기술 분야를 미래 전략적 산업으로 설정하고 관련 분야 자국 기술이 유출되지 않도록 보호하고 있고, 국가안보에도 매우 민감한 반응을 보이고 있다는 점에 유의해야 할 것이다. 
   중국을 비롯한 외국 기업의 한국기업 M&A 확대로 인한 기술 유출 가능성에 대비하여 미국, EU와 같이 외국인투자 규제에 대한 법적·제도적 대응조치를 마련할 필요가 있다. 이러한 측면에서 최근 「산업기술의 유출방지 및 보호에 관한 법률 개정(2019. 8. 20 공포, 2020. 2. 21 시행)」을 통해 국내기업에 대한 외국인 M&A의 규제 근거와 실효성을 강화한 것으로 평가할 수 있다. 국가안보를 내세운 외국인투자 규제는 미국과 EU의 주도로 중요한 통상이슈로 자리 잡고 있으며, 이에 따른 갈등이 지속될 것으로 전망된다. 특히 국가안보의 검토 대상이 확대되는 추세를 보이고 있다. 한국도 이러한 새로운 통상이슈에 보다 적극 대응할 필요가 있다. 이를 위해서는 향후 미국, EU 등의 관련 법제 변화를 감안하여 국가안보 개념과 적용기준을 명확하게 정립하고, 국가 핵심 기술에 대한 정의 및 범위, 심의 절차 등을 보다 구체적으로 마련하여 개정법의 실제 집행능력을 제고할 필요가 있다. 

   China’s investment in the European Union (EU) increased significantly during the European financial crisis, but has been on the decline in recent years. The surge of Chinese investment has raised concerns and demands for analysis on its negative effects on the EU companies and industries. The largest economy in the world, with an advanced capital market and technology, the EU has been China’s most important economic partner in the course of the latter’s rapid growth. In this context, the present study aims to analyze main characteristics of Chinese investment and M&A in Europe, major policy issues between the two sides, the EU’s policy responses, and prospects of Chinese future investment in Europe, going on to draw important lessons for Korea. 
   This study differentiates itself from prior research in that implications are produced for Korea by analyzing main characteristics of the EU’s M&A market and China’s investment. This study further distinguishes itself through its use of primary data to capture indirect Chinese M&As via third countries (e.g. Hong Kong) or Chinese subsidiaries already established in Europe. Until now, existing studies were only able to analyze direct M&As from mainland China due to limitations of available data. Thanks to the new approach, the study presents a more complete picture of Chinese M&A in Europe and captures distinctive features of the two types of M&A. 
   The present study focuses on three key issues, as follows: first, the overall status of China’s investment in Europe and the characteristics of M&A in Europe were examined; second, major investment issues and policy responses in China and the EU were reviewed; and lastly, China’s investment decision-making factors in Europe were analyzed and compared with those of Korea, leading to implications for Korea.
   With regard to the second issue, the study compared policy responses of the EU to the US vis-à-vis Chinese investment. First, the study analyzed China’s investment strategies in the US and the EU respectively. Especially, the study focused on China’s recent investment moves in Eastern Europe, predicting the possibility of future strategic changes. In order to link these analyses to implications for the Korean government and businesses, quantitative analysis techniques such as factor analysis of investment decisions were used to show determinants of Chinese investment compared against that by Korea.
   To summarize the main characteristics of China’s investment in Europe, the study found that the EU’s share of China’s overseas direct investment has continued to increase until recently. Second, investment in the Central and Eastern European Countries (CEECs) is gradually increasing, although it is still insignificant compared to the top five destinations in the EU: Netherlands, Sweden, Germany, Luxembourg and France. Third, China’s investment in the EU is being made in pursuit of innovation in manufacturing and to acquire high-tech technologies.
   Using data from Thomson Reuters information system as primary source, the study collected and analyzed 1,172 M&A cases conducted by China in the EU between 2000 and 2019. The main characteristics identified are as follow. First, the number of China’s M&As in the EU decreased to 113 in 2019 from a maximum of 206 in 2016, showing fluctuation largely in line with China’s overall trend of overseas investment. Second, when compared to overall M&As made in the EU, the proportion of indirect China’s M&As was relatively higher than direct ones. Third, the study found that Chinese investment mainly targeted Western European companies. Investment in Germany, France, and the United Kingdom represents 49.5 percent in terms of number of cases and 74.3 percent in terms of amount invested. Fourth, in the case of CEECs, investment has been in full swing since 2010. Targeted sectors are mainly transportation infrastructure and construction materials such as ports and airports, which seem to be related to China’s Belt and Road Initiative (BRI).
   As there are many companies in the CEECs that are competitive in the high-tech and strategic technology sectors, there is a good possibility that Chinese companies will increase M&A investments in this region, bypassing investment regulations of major Western European countries. Although it is too early to fully confirm this, the study underlines some indirect evidences. First, China’s M&A investment in the CEECs is largely concentrated in the Czech Republic, which is the most advanced in terms of technology. Second, the CEECs are less wary of China’s M&A investment than major Western European countries, and are generally more welcoming to China’s investment.
   Empirical factor analysis of investment shows that China’s investment in the EU is strongly motivated by the pursuit of strategic assets. Other factors such as institutional-level and regulatory variables are found to have no significant impact, or have an effect contrary to expectations. This suggests that China’s investment in the EU is based on the Chinese government’s growth strategy, and accompanies an element of national capitalism. China’s investment is also found to be sensitive to the degree of taxation and openness in investment, which can be attributed to state-run companies leading this investment. When compared to China, Korea’s investment is largely concentrated in the CEECs and more prone to make greenfield investments in the manufacturing sector. The factor analysis also shows that Korea’s investment strategy is more about integrating with Europe’s value chain than acquiring core technologies. 
   It is highly expected that the COVID-19 pandemic will have a reorganizing effect on the global value chain (GVC). Greater fluctuation is expected in major advanced economies, including Europe, as they are strengthening control on foreign investment. To begin with, a post-COVID Europe is expected to gradually increase the proportion of its regional value chain (RVC) within the GVC. Moreover, changes will be centered on smart manufacturing in the era of the fourth industrial revolution. These economies are also expected to further diversify their supply chains in order to hedge against other risks on the global level. 
   Foreign investment regulation in the high-tech sector motivated by national security is emerging as a global issue as the US and the EU are tightening their control. As Korean companies are not free from the risk of falling under such regulations, a thorough and careful response is required. Given that such regulations principally target China, and Korea is known as a traditional ally of the US and the EU, there is not much concern that they will be placed on the list of main regulatory targets. However, it should be noted that major countries have set the high-tech sector as future strategic industries and are highly sensitive to cases of technology leakage and issues of national security.
   For the Korean government, it is necessary to prepare legal and institutional measures regulating foreign investment in reference to the US and the EU. In this regard, the recent revision of the “Act on Prevention of Divulgence and Protection of Industrial Technology” (promulgated on August 20, 2019 and implemented on February 21, 2020) strengthened the basis and effectiveness of foreign M&A regulations. Cases of regulating foreign investment in the name of national security are becoming an important trade issue, particularly in the US and EU, and conflicts are expected to continue. In particular, the scope of national security review is expanding. Korea also needs to respond more actively to these new trade issues. To this end, it is necessary to clearly establish the concept of national security and standards for application in reference to relevant legislation changes in economies such as the US and EU, and to prepare more specific definitions of national core technologies, and their scope and deliberation procedures, to enhance the enforcement capability of the revised law.
